# GoBites Merchant Terms & Conditions

These Terms & Conditions govern merchant use of the GoBites Merchant app, the merchant portal and related
services provided by GoBites LTD (Ahodwo, Kumasi, Ghana). By creating a merchant account or using the app, you
agree to these Terms.

## Eligibility and account

- You must be a legally registered or lawfully operating business and at least 18 years old.
- You are responsible for the accuracy of your business, contact and payout details.
- You are responsible for all activity under your account and for keeping credentials secure.

## Merchant responsibilities

- Keep menus, catalogue items, pricing and availability accurate and up to date.
- Accept, prepare and hand over orders within reasonable times.
- Comply with all applicable food safety, hygiene, licensing, labelling and consumer protection laws in Ghana.
- Ensure items supplied match what was ordered and are safe for consumption.

## Orders and cancellations

Orders placed through GoBites are between the customer and the merchant; GoBites provides the platform and
delivery coordination. Repeated rejections, cancellations or delays may affect account standing.

## Pricing, commissions and payouts

- Merchants set item prices; GoBites charges the agreed commission and applicable service fees.
- Settlements are paid on the agreed schedule to the payout details on file, net of commissions, refunds,
  chargebacks and adjustments.
- Taxes applicable to merchant sales are the merchant's responsibility.

## Refunds and disputes

GoBites may issue refunds or credits to customers for missing, incorrect, unsafe or undelivered items, and may
recover the corresponding amount from merchant settlements where the merchant is responsible.

## Suspension and termination

GoBites may suspend or terminate a merchant account for breach of these Terms, fraud, unsafe practices, legal
violations or sustained poor service quality. Merchants may close their account at any time; outstanding
obligations survive closure.

## Intellectual property

GoBites retains all rights in the platform and its branding. Merchants grant GoBites a licence to display their
business name, logo, menu content and images for the purpose of operating and promoting the service.

## Liability

The service is provided on an "as is" basis to the extent permitted by law. GoBites is not liable for indirect
or consequential losses. Nothing limits liability that cannot be limited under Ghanaian law.

## Governing law

These Terms are governed by the laws of the Republic of Ghana, with disputes subject to the courts of Ghana.

## Changes

GoBites may update these Terms; continued use after notice constitutes acceptance.
