    Agreement 01 Customer

    Customer Terms & Conditions

For customers placing orders, making payments and receiving deliveries or collecting food.

    Effective Date: Last Updated:

    Read the Customer Privacy Policy

    01Introduction and agreement

These Customer Terms & Conditions (“Customer Terms”) are between GoBites LTD, incorporated in Ghana, and the person using its customer services (“you”). They govern the GoBites customer application, website, supported ordering channels, orders, delivery and pickup services made available through the platform. GoBites was founded in 2025 and incorporated in 2025.

Read these Customer Terms before creating an account or submitting an order. You agree to them when you expressly accept them during registration or checkout, or knowingly submit an order after they have been made available to you. Merely visiting this page does not create an obligation to purchase anything. You may save or print these terms and your order confirmation.

The Customer Terms are separate from the Courier Agreement and Merchant / Vendor Terms. The Customer Privacy Policy at GoBites Customer Privacy Policy explains personal-data processing; acceptance of these terms is not blanket consent to optional marketing or other processing that requires separate consent.

    02GoBites, merchants and delivery services

GoBites provides technology, order coordination, customer support and the delivery services described when you order. The identified merchant supplies the food or other goods unless the listing expressly identifies GoBites as the seller. The order summary must identify the merchant and the relevant charges and fulfilment arrangements.

Merchants are responsible for their products, preparation, descriptions and applicable food-safety obligations. Couriers carry out delivery tasks through the platform. These roles do not remove GoBites’ responsibility for its own services, representations, payment security or other duties imposed by law. You may contact GoBites for assistance with an order regardless of which participant caused the problem.

    03Eligibility and authorised use

You must have legal capacity to enter the relevant transaction. An adult placing an order for another person must be authorised to supply the recipient’s contact and delivery details and must explain any relevant handover requirements. A minor may use the services only with the involvement and authority of a parent or guardian where required by law; an adult authorising a purchase is responsible for that purchase.

Additional age, identity, prescription or other restrictions may apply to particular goods where offered. GoBites or a merchant may refuse a restricted transaction where required checks cannot be completed. The availability of a listing does not remove a legal restriction on its sale or delivery.

    04Accounts, telephone numbers and authentication

Provide accurate account and contact information, keep it current and protect your device, password and sign-in OTPs. Do not impersonate another person, create accounts to evade restrictions or allow unauthorised access. Notify support promptly if you suspect compromise.

You are responsible for purchases you authorise and for reasonable steps to secure your account. You are not automatically responsible for every unauthorised transaction merely because it appears on your account. Responsibility for misuse will be assessed on the evidence and applicable law, including obligations of GoBites and payment providers. Sign-in OTPs are different from delivery verification codes.

    05Listings, ingredients and special instructions

Menus, prices, availability, photographs and ingredient information are provided by merchants and may change. Photographs may illustrate presentation; they must not materially misrepresent the product. GoBites may correct an error before acceptance and ask you to confirm a material change instead of silently changing your order or price.

Tell the merchant about relevant dietary needs before ordering and use available ingredient information. An allergy note alone is not a guarantee that a kitchen can prevent cross-contact. If suitability cannot be confirmed, do not order the item. This does not excuse inaccurate allergen information, unsafe food or any duty imposed on a merchant or GoBites.

    06Placing and accepting an order

Before submitting, review the merchant, items, quantities, options, delivery or pickup selection, address, total charges and any cancellation conditions. You must have an opportunity to correct errors or withdraw before completing the transaction. A receipt acknowledging an order request or payment authorisation is not necessarily acceptance by the merchant.

An order is accepted when the platform or authorised ordering channel confirms acceptance. If a merchant rejects the order or cannot supply it, you will be informed and payment will be released or refunded as appropriate. Substitutions, material price changes and materially different delivery arrangements require your agreement. Keep the order reference for support.

    07Prices, charges and payment authorisation

The order summary must disclose the amount payable, including item prices, applicable taxes, delivery charges, service charges and discounts, before you confirm. Currency is Ghana cedis unless expressly stated otherwise. No additional compulsory charge may be imposed after acceptance without a lawful basis and, where needed, your agreement.

Use only a payment method you are authorised to use. By confirming an order, you authorise collection of its disclosed total. Cash payment is available only where expressly offered. An optional tip must be clearly identified and must not be treated as a compulsory charge. Report duplicate or incorrect charges promptly.

    08Payment providers and transaction records

Electronic payments may be processed by banks, Mobile Money operators or authorised payment providers under their own terms. GoBites may receive payment status and transaction references to reconcile your order. Do not send a Mobile Money PIN, banking password or financial authentication code to a merchant, courier or support agent.

A pending authorisation is not necessarily a completed debit. Where an order is not accepted, GoBites will arrange the appropriate release or refund and provide available confirmation. Provider processing times may vary, but references to provider delays do not displace any applicable statutory refund deadline or GoBites’ own obligations.

    09Delivery addresses, access and handover

Provide an accurate delivery address, map pin or landmarks and a reachable contact number. Arrange lawful and safe access to the agreed handover point. You or an authorised recipient should be available at the communicated delivery time.

Couriers are not required to enter an unsafe property or perform unlawful or dangerous instructions. If safe delivery cannot be completed, GoBites will seek reasonable instructions or another safe handover arrangement. Address changes after acceptance are subject to feasibility and any additional charge disclosed and accepted before the change is made.

    10Delivery timing and tracking

Arrival times are estimates unless an express delivery commitment is made. Preparation, traffic, weather, availability and access can affect delivery. GoBites will use reasonable care in coordinating delivery and communicating material delays; describing a time as an estimate does not excuse indefinite delay or failure to provide the agreed service.

Live tracking may be approximate or temporarily unavailable. If delivery becomes materially delayed or cannot be completed, contact support for the available options, which may include cancellation and refund where appropriate or required by law. A system status alone is not conclusive proof that you received the order.

    11Pickup orders

Where pickup is offered, collect the order from the stated merchant location during the confirmed collection window and provide the requested order reference or handover code. Check the name, reference and accessible contents before leaving where reasonably possible.

If you cannot collect, contact support or the merchant promptly. Perishable food cannot be held indefinitely. Any charge for an uncollected order must reflect the disclosed terms, the stage of preparation and applicable rights. A merchant’s failure to prepare or make the order available is not a customer no-show.

    12Delivery verification and unsuccessful delivery

Give a delivery PIN or confirmation code only at the appropriate stage of actual handover. Do not share a code prematurely or confirm receipt of an order you have not received. An authorised recipient may complete handover on your behalf.

If you cannot be reached, the courier or support should make reasonable contact attempts using the supplied details. An order may be returned, safely disposed of or otherwise handled on support instructions if delivery cannot reasonably be completed. It must not be left in an unsafe or unauthorised place. A disputed charge must be assessed using the circumstances and evidence, not only an automated “delivered” status.

    13Customer cancellations

Request cancellation through the available order controls or support as soon as possible. Cancelling a payment instruction or closing the app does not necessarily cancel an accepted order. GoBites will confirm the outcome and explain any charge.

Before merchant acceptance, a cancellation should ordinarily receive a full refund or release of payment. After acceptance or preparation has begun, a charge may be justified for goods prepared or services already supplied where disclosed, reasonable and lawful. There is no blanket forfeiture of the entire order price regardless of circumstances. Mandatory consumer rights prevail over operational cancellation rules.

14Merchant or GoBites cancellations and unavailable items

An order may be cancelled because an item is unavailable, payment cannot be verified, delivery is unsafe or impossible, a legal restriction applies or there is a substantiated fraud concern. GoBites will explain the reason where lawful and practicable and identify the payment treatment.

Where goods or services cannot be supplied because they are unavailable, the consumer must be notified promptly and the applicable refund obligation observed. Where section 48(3) of Ghana’s Electronic Transactions Act, 2008 (Act 772) applies, payment must be refunded within seven days after notification. An alternative item or account credit must not replace a refund to which you are entitled without your agreement.

15Incorrect, missing, damaged or unsafe orders

Contact support promptly if an order is missing, incorrect, materially not as described, damaged, unsafe or not delivered. Provide the order reference and reasonably available evidence, such as photographs or details of missing items. Do not consume food you reasonably believe is unsafe; seek medical assistance where needed.

GoBites will investigate with the relevant merchant or courier and offer an appropriate remedy, which may include replacement, refund of affected items and associated charges, or another remedy required by law. A short operational reporting request is not a contractual extinction of statutory rights. Failure to photograph a problem does not automatically defeat a valid claim.

    16Refunds and statutory cancellation rights

Refunds will ordinarily return to the original payment method unless you agree to another lawful method or the original method cannot receive the refund. Any alternative will be explained. Applicable statutory deadlines take precedence over provider estimates. Refund eligibility and amount will take account of what was supplied, the reason for the problem and your legal rights.

The general change-of-mind grace period under section 49 of Act 772 has exceptions, including certain everyday food deliveries, perishable goods, customised goods and services begun with the consumer’s consent. These exceptions do not remove remedies for defective, unsafe, misdescribed or undelivered goods, or other non-excludable rights. Where the statutory grace period applies to a non-exempt transaction, its cancellation and return rules will be honoured.

Nothing in these terms excludes the consumer protections in Act 772 or another applicable law. In particular, a failure to provide required transaction information may give rise to separate cancellation and refund rights. You may seek an explanation of a refusal and ask support to review it.

    17Promotions, vouchers and credits

Promotions are subject to the eligibility, expiry, minimum spend, participating merchants and other conditions disclosed with the offer. Check the final total before ordering. A promotion does not guarantee continued availability of a merchant or item.

Do not misuse promotions through false identities, duplicate accounts, fabricated referrals or other deception. GoBites may reverse an improperly obtained benefit after reviewing relevant evidence and explaining the basis where practicable. A refund legally due in money will not be converted into promotional credit without your agreement.

    18Customer conduct and prohibited activity

Treat merchants, couriers and staff respectfully. Do not threaten, harass, discriminate unlawfully, request illegal goods, interfere with another person’s account, misuse delivery contact details, make fraudulent claims or manipulate payment, location or review systems.

You may report genuine problems, give honest feedback and exercise legal rights without retaliation. Nothing prevents a good-faith complaint, lawful disclosure to an authority or review of your experience.

    19Reviews and intellectual property

You retain ownership of content you submit, while granting GoBites a non-exclusive licence to host, display and reproduce it as reasonably needed to operate, moderate and promote the services. Submit only content you have the right to share and do not include another person’s private information without authority.

GoBites may remove unlawful, abusive, fraudulent or irrelevant content using reasonable moderation standards. Its branding, software and designs remain protected. You receive permission to use the platform for its intended purposes, not to copy its software, misrepresent affiliation or interfere with security.

    20Privacy and communications

The Customer Privacy Policy at GoBites Customer Privacy Policy explains the processing of account, order, payment, location and support information and your privacy choices. Only information reasonably needed for fulfilment and legitimate support should be shared with the merchant or assigned courier.

You may receive necessary order, account, payment and security messages. Optional marketing is subject to applicable consent and opt-out requirements. Opting out of marketing does not prevent essential transactional communications.

21Suspension, account closure and outstanding orders

GoBites may restrict access where reasonably necessary to investigate fraud, protect safety, comply with law or address a material breach. The action should be proportionate. Where lawful and practicable, GoBites will give a reason and a way to request review; urgent restrictions may be imposed before notice.

You may stop using the service or request account closure through available controls or support. Suspension or closure does not erase valid refund claims or automatically forfeit money owed. Outstanding orders, payment disputes and lawful record retention will be handled separately.

22Service interruptions and events outside reasonable control

Maintenance, connectivity failures, outages and serious external events may interrupt the platform. GoBites will take reasonable steps to limit disruption, communicate material effects and assist with affected orders. The service is not an emergency service.

A disruption does not permit GoBites to retain payment for an unprovided service without a lawful basis. Where an order cannot reasonably be completed, cancellation and refund rights continue to apply. Each party must take reasonable steps to avoid unnecessary loss.

    23Responsibility and liability

Each party is responsible for the consequences of its own breach, negligence or unlawful conduct as determined by applicable law. GoBites is not the manufacturer of merchant goods, but that does not exclude responsibility it has as a platform operator, supplier of its own services or participant in the transaction.

To the extent lawful, liability does not extend to losses that are too remote or were not reasonably foreseeable. Nothing excludes or restricts liability for fraud, wilful misconduct, gross negligence, death or personal injury where liability cannot be limited, mandatory consumer remedies, or any other non-excludable liability. These terms impose no blanket customer indemnity for GoBites’ own fault.

    24Complaints, disputes and Ghanaian law

Contact support@usegobites.com with the order reference, the issue and the remedy requested. GoBites will consider the evidence and provide a response or explain what further information is needed. An internal complaint procedure does not prevent urgent relief or suspend a legal time limit.

These Customer Terms are governed by the laws of Ghana. Unresolved disputes may be brought before a court of competent jurisdiction. Mediation or arbitration is available only where separately and validly agreed; these terms do not impose compulsory arbitration or waive access to a competent regulator or other statutory forum.

    25Changes, interpretation and electronic records

Material changes will be made available before they apply, with notice through an appropriate channel. The version accepted for an order governs that order unless a change is required by law or you separately agree. New terms do not retrospectively remove accrued rights. Where express acceptance is required, GoBites must obtain it.

Order-specific terms may supplement this document if clearly disclosed before acceptance, but cannot remove mandatory rights. If a clause is unenforceable, the remainder continues where legally possible. GoBites may not transfer its obligations in a way that unlawfully reduces your rights. A failure to enforce a clause on one occasion is not a waiver of it.

    Agreement 02 Courier

Courier Terms & Conditions / Courier Agreement

For couriers and riders accepting delivery tasks, earning fees and using GoBites delivery services.

    Effective Date: Last Updated:

    Read the Courier Privacy Policy

01Introduction and scope of the Courier Agreement

These Courier Terms & Conditions / Courier Agreement (“Courier Agreement”) are between GoBites LTD, incorporated in Ghana, and the courier or rider who accepts them (“you”). They govern registration, platform access, delivery opportunities, accepted deliveries, earnings, payouts and related support. “Courier” and “rider” refer to the same participant in this document.

This document is the GoBites Courier Terms and Conditions and Courier Agreement referred to in the Courier Privacy Policy at GoBites Courier Privacy Policy. Read it together with any commercial schedule expressly accepted by you. It is separate from the Customer Terms and Merchant / Vendor Terms. It applies when you accept it during onboarding or another clearly identified acceptance process.

02Nature of the relationship and mandatory rights

The intended model for couriers engaged under this agreement is the independent provision of delivery services: you choose when to make yourself available, may decline opportunities before acceptance and may provide services to others, subject to completing accepted work safely and lawfully. No minimum number of deliveries, income or exclusivity is promised unless expressly agreed in a separate applicable arrangement.

The legal status of the relationship depends on its actual operation and applicable Ghanaian law, not solely on this description. Nothing waives employment, labour, social-security, injury-compensation or other statutory rights where they apply, including under the Labour Act, 2003 (Act 651). A separate employment agreement and mandatory law prevail where you are engaged as an employee.

You cannot bind GoBites to another contract or represent that you have authority beyond an assigned delivery or other express authorisation. GoBites’ obligations for its platform, payments and lawful conduct remain its own.

    03Eligibility, onboarding and verification

You must be at least 18, have legal capacity to contract, be entitled to perform the delivery activities in Ghana, and hold the licences, permissions and insurance applicable to your vehicle and activity. Provide accurate identity, contact, vehicle and payout information and complete proportionate verification checks communicated during onboarding.

Approval may depend on service availability, lawful eligibility and safety requirements. Tell GoBites promptly if your licence, insurance, vehicle eligibility or right to work changes. A verification decision should not be based on unlawful discrimination. You may ask support to correct an inaccurate onboarding record.

04Account security and authorised courier identity

Use your own approved account and keep sign-in OTPs and other credentials confidential. Do not sell, rent, lend or share the account or impersonate another courier. An unverified person must not perform a delivery under your identity. Any substitution must be expressly approved and subject to equivalent lawful verification and safety requirements.

Notify support promptly of suspected compromise, loss of your device or unauthorised changes to payout details. You remain responsible for work you authorise and your own security failures, but responsibility for unauthorised activity must be assessed on evidence and applicable law rather than assumed from an account record alone.

    05Equipment, vehicles and operating costs

Unless a separate agreement states otherwise, you provide the lawful vehicle or transport method, suitable delivery bag, roadworthy equipment, helmet and other required protective equipment, phone, data and power needed for your work. Maintain them safely and hygienically and comply with lawful carrying limits.

Ordinary fuel, data, maintenance and operating costs are your responsibility under the independent-service model unless reimbursement is expressly agreed. Any equipment sale, loan, rental, deposit or deduction requires a separate disclosed agreement; no unspecified equipment debt is created by these terms.

06Availability and freedom to accept opportunities

Use the available controls to indicate whether you are online, offline or completing a delivery. Being online does not guarantee a request. You may decline an unaccepted offer and go offline when not responsible for an active delivery, subject to any separately accepted lawful arrangement.

Once you accept a delivery, either complete it with reasonable care or promptly arrange cancellation or reassignment through support for a legitimate reason. Going offline must not conceal possession of an order or prevent necessary communication about an accepted task.

    07Dispatch, matching and automated systems

GoBites may use location, availability, distance, order requirements, active tasks and operational capacity to broadcast or assign opportunities. A broadcast may be offered to more than one courier and may expire or be allocated before you accept. Follow the assignment status rather than assuming that seeing an offer reserves it.

Software may assist dispatch, arrival estimates, safety checks and fraud detection. Contact support about an apparent error or significant adverse decision. Any right to information, human review or challenge provided by applicable law remains available.

    08Delivery offers and acceptance

Before acceptance, the platform should disclose the available pickup and destination information, relevant task requirements and the offered fee or an understandable basis for calculating it. Any material conditions, including incentive eligibility or supported cash handling, must be made available before you undertake the affected work.

Acceptance creates an obligation to perform that task with reasonable care subject to safety, legality and these terms. If important details materially change, contact support for instructions and any revised offer rather than assuming you must perform undisclosed additional work without an agreed basis for payment.

    09Pickup and merchant coordination

Travel safely to the assigned merchant, identify the correct order, follow reasonable pickup instructions and check the order reference and package count. Notify the merchant or support of material delay, unavailable items, damaged packaging or a mismatch before taking the order.

Do not open sealed food packages to inspect their contents. Take reasonable care with externally apparent issues and obtain confirmation where needed. Record pickup only when the order has actually been collected. You are not responsible for verifying hidden ingredients or a sealed package’s contents merely by collecting it.

    10Transport, hygiene and delivery duties

Keep the order secure, upright where appropriate, and protected from contamination, tampering and avoidable damage. Use suitable equipment and follow reasonable handling requirements disclosed for the order. Do not consume, substitute, remove or share any item.

Proceed with reasonable diligence to the authorised destination. Do not take unrelated detours or combine activities in a way that jeopardises food safety or an accepted delivery. Where another task or emergency prevents proper performance, notify support and seek a safe solution.

    11Customer contact, access and handover

Use the platform’s authorised contact functionality only for the delivery or legitimate follow-up. Be respectful, avoid unnecessary disclosure of contact details and arrange a safe handover to the customer or authorised recipient.

You need not enter an unsafe location or comply with unlawful or threatening instructions. Contact support if access is unsafe, the recipient is unavailable or the address cannot be located. Do not leave an order somewhere unsafe or unauthorised, or falsely record customer consent.

    12Delivery verification and evidence

Use the delivery PIN, confirmation control, photograph or other authorised proof-of-delivery method only at the correct stage of actual handover. Do not obtain a code prematurely, manufacture evidence or record an undelivered order as delivered.

Collect only proportionate evidence requested by the process. Avoid unnecessary images of people, identity documents or private interiors, and do not retain delivery evidence in a personal collection. Report technical failures; an app timestamp or GPS point alone need not conclusively establish fault in a disputed delivery.

    13Delays, failed deliveries and cancellations

Notify support promptly of breakdowns, accidents, severe weather, customer unavailability, unsafe conditions or other problems affecting an accepted task. Do not abandon an order or pass it to an unapproved person. Follow lawful instructions for reassignment, return or safe disposal.

Cancellation compensation, waiting-time payment and return-trip charges apply only under the terms disclosed for the task or a separately agreed adjustment. GoBites must not impose an undisclosed penalty or withhold unrelated earned sums simply because a cancellation occurred. Reasonable safety refusals and events outside your control should be considered when reviewing performance.

    14Location, GPS and operational tracking

Location access may be necessary for going online, nearby opportunities, dispatch, navigation, arrival estimates, pickup coordination, customer tracking and delivery verification. The Courier Privacy Policy at GoBites Courier Privacy Policy explains when location may be collected, including background operation where enabled, how it is shared and retained, and your choices.

You must not falsify GPS information or interfere with tracking to misrepresent work. Device settings may limit or prevent relevant courier features. Customers and merchants should see location only at appropriate delivery stages for legitimate operational purposes; this agreement does not authorise unrestricted personal surveillance or waive privacy rights.

    15Customer and merchant information

Use names, locations, contact channels, order details and verification information obtained through GoBites only to perform the assigned delivery, assist authorised support or comply with law. Do not use them for personal contact, advertising, harassment, social-media searches, sale or unrelated record keeping.

Do not disclose this information to an unauthorised person. Secure your device and promptly report suspected loss or misuse. Return or delete information when it is no longer lawfully needed, subject to a legitimate dispute or legal preservation requirement. GoBites remains responsible for its own data-processing duties.

    16Earnings and incentives

Your earnings are determined by the fee or calculation method disclosed for the accepted delivery and any applicable incentive terms you accepted. GoBites will make relevant earnings records available and explain material adjustments. Amounts already earned must not be reduced retrospectively by a new pricing rule.

Incentives may have conditions such as service area, qualifying deliveries or a stated period. They do not create a continuing income guarantee. GoBites may correct genuine calculation errors or reverse a fraudulently obtained incentive, subject to evidence, notice where lawful and an opportunity to dispute the calculation.

17Payouts, Mobile Money and bank details

Provide an accurate payout account that you are authorised to use and complete relevant verification. The payout schedule, available methods, minimum withdrawal amount and any charges must be disclosed in the courier account or an accepted commercial schedule before they apply.

GoBites will arrange payment of undisputed amounts when due under that schedule and provide available references for failed or delayed transfers. It must take reasonable steps to investigate a payment problem. Banks or Mobile Money providers may perform their own lawful checks; a reference to a provider delay does not remove GoBites’ responsibility for its own failure or any statutory payment obligation.

    18Adjustments, deductions and payout disputes

Deductions require a disclosed contractual or legal basis and must be limited to properly attributable amounts. GoBites will identify the reason and calculation and give you a reasonable opportunity to challenge an alleged error or loss. No automatic fine, unlimited set-off or forfeiture of all earnings is authorised by these terms.

Where a genuine investigation justifies a temporary hold, it should be proportionate, limited to relevant sums and reviewed without unnecessary delay. Unrelated undisputed earnings should remain payable unless lawfully restricted. Notify support of discrepancies and retain delivery or transaction references. Mandatory protections against deductions prevail where applicable.

    19Cash collection where expressly authorised

Handle cash only if the delivery offer or authorised platform process permits it. Confirm the amount due, provide available transaction confirmation and keep collected funds secure. Do not request extra compulsory payments or ask a customer to pay twice.

Reconcile and remit collections using the disclosed procedure. Cash entrusted to you is not additional earnings. Report shortages, counterfeit notes, robbery or reconciliation problems promptly; liability must be assessed according to the evidence, your actual responsibility and applicable law.

    20Road safety, accidents and emergencies

Observe traffic laws, speed limits, licensing requirements and applicable helmet, seatbelt and road-safety rules. Do not operate a vehicle while impaired, dangerously fatigued or distracted by the app. Stop in a safe place before handling your phone. Delivery targets do not justify unsafe or unlawful conduct.

In an emergency, prioritise safety and contact the appropriate emergency service. Notify GoBites as soon as reasonably practicable, preserve relevant evidence safely and cooperate with a lawful investigation. Do not admit liability on behalf of GoBites or obstruct reporting to an authority.

    21Insurance, licences and taxes

Under the independent-service model, maintain the insurance, licences and other permissions required for your vehicle and delivery activity, including any cover required for commercial use. Do not assume a private-use policy covers delivery work. Any cover arranged by GoBites exists only to the extent confirmed in the relevant policy documentation and remains subject to its terms; this agreement makes no unsupported promise of insurance.

You are responsible for taxes and statutory obligations that the law places on you. GoBites remains responsible for withholding, reporting, employer contributions, insurance or other obligations that the law places on it. Describing you as independent does not transfer a non-transferable statutory duty. Obtain advice on your own tax and insurance position where needed.

    22Conduct, harassment and prohibited activity

Do not threaten, harass, discriminate unlawfully, solicit inappropriate personal contact, steal goods, demand unauthorised charges, manipulate dispatch or GPS, fabricate deliveries, share accounts or misuse another participant’s information. Comply with lawful platform safety requirements.

You may refuse unsafe or unlawful instructions, raise good-faith complaints, cooperate with regulators and exercise applicable statutory rights without retaliation. Report misconduct by a customer, merchant, another courier or GoBites staff through support or an appropriate authority.

    23Ratings, complaints and review

GoBites may use genuine ratings, completion records, complaints and safety information to assess service quality. Reviews should consider available evidence, connectivity problems, merchant delays, customer availability and other circumstances beyond your control.

You may challenge inaccurate records and ask for review of a decision materially affecting your access or earnings. GoBites may protect another person’s confidential information while explaining the substance of an allegation as far as reasonably possible. Applicable rights concerning automated decisions or employment procedures remain unaffected.

    24Suspension and investigation

GoBites may temporarily restrict access where reasonably necessary for a serious safety risk, suspected fraud, compromised account, missing legal eligibility or a material breach. Immediate action may precede notice in an urgent case or where disclosure is legally restricted.

Where lawful, GoBites will explain the reason, request any information needed and provide a support route to seek review. Restrictions should be proportionate and reviewed without unnecessary delay. Suspension is not proof of misconduct and does not automatically extinguish earned payments.

25Ending the relationship and account deletion

You may stop accepting new work and request closure through support or available controls. Complete or safely transfer active deliveries, reconcile authorised collections and deal with any equipment under its separate agreement. GoBites may end access for a material breach, loss of eligibility or a legitimate service reason, subject to reasonable notice where practicable and any mandatory procedural requirements.

Closure does not remove accrued rights, properly incurred liabilities or payment of undisputed earnings when due. Privacy deletion requests are handled under the Courier Privacy Policy, including lawful retention of payment, safety or dispute records. Any notice or termination entitlement imposed by law prevails.

    26Confidentiality, intellectual property and records

GoBites retains rights in its software, brand and platform materials. You may use them only as authorised for courier activities and must not falsely represent sponsorship or authority. You retain ownership of content you lawfully create, granting GoBites only the rights reasonably needed to operate and evidence the relevant service.

Protect non-public business, security and participant information. Confidentiality does not prevent legal advice, a good-faith complaint, reporting unlawful conduct, exercising statutory rights or complying with a lawful disclosure obligation. Keep the delivery and payout records reasonably needed to support your own accounts and disputes without retaining unnecessary customer data.

    27Liability and responsibility for loss

Each party is responsible for proven loss caused by its own breach, negligence or unlawful conduct under applicable law. A courier is not automatically responsible for missing contents inside an apparently intact sealed package, a platform error, merchant preparation failure or an event beyond the courier’s reasonable control.

Any claim for reimbursement must identify the act, evidence, amount and causal connection and allow a fair opportunity to respond. Neither party may recover twice for the same loss. No clause excludes liability for fraud, wilful misconduct, gross negligence or another liability that cannot lawfully be limited. Mandatory labour, compensation and privacy rights remain intact.

    28Platform interruptions and external events

Connectivity, maintenance, provider outages or serious external events may affect availability or dispatch. GoBites does not guarantee uninterrupted access or a particular volume of work but will take reasonable steps to address disruptions affecting accepted deliveries and due payments.

Contact support where a failure prevents a status update, navigation or completion. Neither an outage nor an external event automatically excuses paying for services already properly performed. Safety and lawful instructions take priority while an issue is resolved.

    29Commercial schedules, changes and precedence

A separately accepted courier commercial schedule may specify rates, payout timing, service areas, incentives and equipment arrangements. It forms part of the agreement only to the extent clearly supplied and accepted. No undisclosed schedule or future policy can retrospectively reduce accrued earnings or mandatory rights.

GoBites will communicate material prospective changes before they apply and obtain acceptance where required. A task is governed by the terms accepted for that task unless law requires otherwise or you agree to a change. Mandatory law prevails; a separately signed employment agreement governs an employment relationship. If a term is invalid, the remaining provisions continue where legally possible.

    30Complaints, disputes and governing law

Raise delivery, earnings or account disputes with support@usegobites.com, providing relevant references and the outcome sought. GoBites will review the information and give a response or explain what is needed. Good-faith discussions or consensual mediation may help resolve a dispute.

Ghanaian law governs this agreement. Unresolved disputes may be taken to the competent Ghanaian court or statutory body. Nothing excludes access to the National Labour Commission where it has jurisdiction, the Data Protection Commission or another competent authority. Arbitration requires a separate valid agreement. 24. Acceptance of Terms

By registering, accessing, or using the GoBites Merchant App, you confirm that you have read, understood, and agree to be bound by these Terms & Conditions. If you are using the Platform on behalf of a business, you represent that you have the authority to bind that business to these Terms.

    25. Mandatory rights and interpretation

The existing merchant provisions above remain part of this document, subject to the clarifications in sections 25–29. If there is an inconsistency, these clarifications govern for the matters they address. No clause removes a duty imposed on GoBites by law or a non-excludable right of a merchant or customer.

Refund decisions must comply with applicable consumer law and disclosed order terms; they are not an unrestricted discretion to deny a lawful remedy. References to third-party outages, merchant content or delivery delays do not exclude liability for GoBites’ own actionable fault. Liability exclusions do not cover fraud, wilful misconduct, gross negligence or another liability that cannot lawfully be excluded.

The indemnity in section 18 applies only to properly established loss attributable to the merchant’s relevant breach or responsibility. It does not require indemnification for GoBites’ own negligence or misconduct. GoBites must give reasonable notice of a claim, permit reasonable participation in its defence and take reasonable steps to mitigate loss.

    26. Commercial schedules and settlement disputes

Commissions, fees, promotional funding, payout schedules, payment methods and any reserves must be stated in the merchant agreement or a commercial schedule disclosed and accepted before they apply. No rate, deposit or unrestricted deduction is created merely by publication of this page. Material changes apply prospectively on the required notice and acceptance.

GoBites will make settlement records and material adjustments available. A refund, chargeback or deduction charged to a merchant must have a disclosed contractual or legal basis and be attributable to that merchant, with an explanation and reasonable opportunity for review. Temporary holds must be proportionate to a genuine investigation or legal requirement; undisputed sums remain payable when due unless lawfully restricted.

    27. Order problems, food safety and recalls

Merchants must notify GoBites promptly of unsafe products, material allergen errors, recalls or other matters requiring orders to be stopped, customers informed or authorities contacted. They must cooperate in a lawful investigation, preserve relevant records and arrange appropriate remedies for goods for which they are responsible.

GoBites may coordinate customer support and appropriate refunds under disclosed terms and mandatory law. Where an issue is caused by the merchant, recovery from settlement must follow section 26. A merchant is not automatically responsible for every loss occurring after handover regardless of courier conduct or GoBites’ own fault.

    28. Personal information and confidentiality

Use customer and courier information received through the platform only to fulfil orders, resolve authorised support issues or comply with law. Do not use it for unrelated marketing, unauthorised personal contact, sale or disclosure. Restrict staff access, protect account credentials and report suspected loss or misuse promptly.

The Merchant / Vendor Privacy Policy at GoBites Merchant / Vendor Privacy Policy describes GoBites’ processing. A merchant remains responsible for its own independent processing under applicable data-protection law. Confidentiality does not prevent lawful reporting, legal advice or cooperation with a competent regulator.

    29. Notice, acceptance and accrued rights

The original merchant terms took effect on 1 January 2026. The clarifications dated 8 September 2026 apply prospectively when made available and accepted through the applicable merchant process; they do not retrospectively impose a charge or remove an accrued right. Notice and express agreement will be obtained where required by law or an existing merchant contract.

Account closure or suspension does not automatically forfeit undisputed settlements or extinguish a valid complaint. Where lawful and practicable, GoBites will explain a material restriction and provide a route to seek review. A signed merchant agreement may supplement this document, subject always to mandatory law and the terms properly agreed between the parties.
